These terms of use are entered into by and between You and That Menu App LLC (“Company,” “we,” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms of Use”), govern your access to and use of thatmenuapp.com, including any content, functionality, and services offered on or through thatmenuapp.com (collectively, the “Website”), whether as a guest or a registered user.

Please read the Terms of Use carefully before you begin using the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, incorporated here by reference. If you do not agree to these Terms of Use or the Privacy Policy, you must not access or use the Website.

This Website is offered and available to users who are 16 years of age or older, and reside in the United States or any of its territories or possessions. By using this Website, you represent and warrant that (i) either (a) you are of legal age to form a binding contract with the Company or (b) you have parental / guardian consent to use the site, and (ii) you meet all of the Website’s eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.

YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE WEBSITE, OR ANY PRODUCTS, SERVICES, CONTENT, OR OTHER INFORMATION AVAILABLE ON OR THROUGH THE WEBSITE, IS TO STOP USING THE WEBSITE AND/OR THOSE PARTICULAR PRODUCTS OR SERVICES. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THE WEBSITE.

As used in these Terms of Use, references to our “Affiliates” include our owners, subsidiaries, affiliated companies, officers, directors, suppliers, partners, sponsors, and advertisers, and includes (without limitation) all parties involved in creating, producing, and/or delivering the Website and/or its contents.

Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page each time you access this Website so you are aware of any changes, as they are binding on you.

Accessing the Website and Account Security

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users (including registered users). You are responsible for both making all arrangements necessary for you to have access to the Website, and ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a username, password, or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to this Website or portions of it using your username, password, or other security information. You agree to notify us immediately of any unauthorized access to, or use of your username or password, or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms of Use.

Registration Data and Privacy

In order to access some of the services on the Website, we may require you to create a separate account and password through an online registration form, which may request certain information and data (“Registration Data”) and maintaining and updating your Registration Data as required. By registering, you agree that all information provided in the Registration Data is true and accurate, and that you will maintain and update this information as required in order to keep it current, complete, and accurate.

You also grant us the right to disclose to third parties certain Registration Data about you. The information we obtain through your use of the Website, including your Registration Data, is subject to our Privacy Policy.

Description of Services

We make various services available on the Website including, but not limited to, restaurant menu software, digital menu experiences, onboarding resources, support, account registration, and related restaurant operations tools. You are solely responsible for providing, at your own expense, all equipment necessary to use the services, including your own device and Internet access (including payment of any service fees associated with such access).

We reserve the sole right to either modify or discontinue the Website, including any features therein, at any time with or without notice to you. We will not be liable to you or any third party should we exercise such right. Modifications may include, but are not limited to, changes in the pricing structure, the addition of fee-based services, or changes to limitations on allowable file sizes. Any new features that augment or enhance the then-current services on the Website will also be subject to these Terms of Use.

You understand and agree that the services available on the Website are provided “AS IS” and that we assume no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings.

Food Safety & Allergen Information

This section explains how allergen and ingredient information works on That Menu App. It applies to guests who view a menu and to restaurants that publish one, and it is written to be read by the people who use the software during a shift, not only by lawyers. Our Allergen Notice covers the same ground for guests in more detail; the two documents are written to say the same thing, and the paragraph immediately below appears in both, word for word.

Allergen results are based on information provided and confirmed by the restaurant. They are not a guarantee that an item is allergen-free. Ingredients, suppliers, recipes, and preparation methods may change, and cross-contact can occur. If you have a food allergy or sensitivity, you must tell the restaurant before ordering and confirm your needs with staff.

What we relay, and what we cannot know. We provide software that restaurants use to publish their own menus. The restaurant is the source of everything a guest reads about a dish: its own people enter and maintain the recipes, ingredients, and allergen details. We do not prepare food, inspect kitchens, or test dishes, and we cannot independently confirm what is in a dish or how it was made. We organize the information a restaurant provides — for example, by relating an ingredient to the allergen groups it belongs to — so that a menu can be searched and filtered. That organization does not add knowledge about a dish that the restaurant did not provide.

What a confirmation status means. A dish's allergen information is shown either as confirmed or as not confirmed. Confirmed means a person at the restaurant reviewed and confirmed that dish's allergen information at a point in time. It is a statement about the record, not a laboratory result, and not a statement that a dish is suitable for you. Where a restaurant has not confirmed a dish's allergen information, we say so rather than presenting the dish as though it had been reviewed, and we do not treat the absence of information as a clearance: when a guest filters by an allergen, a dish the restaurant has not confirmed clear of that allergen is withheld from the results rather than offered as a match.

Cross-contact. Restaurant kitchens are shared environments. Cooking surfaces, fryers, utensils, preparation areas, and staff are typically used for many dishes, and an allergen can transfer to a dish that does not list it as an ingredient. Ingredient information cannot describe that possibility, and no filter applied to a menu can remove it. Only the restaurant can tell you how a dish is prepared and what precautions its kitchen is able to take.

What we ask guests to do. Filtering a menu is the start of a conversation with the restaurant, not a substitute for one. Tell the restaurant about your food allergy or sensitivity before you order, every time, even if you have eaten the dish before, and confirm with staff that the dish, as it will be prepared for you, meets your needs. If you are not satisfied with the answer you receive, do not order the dish. Nothing on the Website is medical advice, a diagnosis, or a treatment recommendation.

What restaurants publishing a menu are responsible for. If you publish a menu through That Menu App, you are responsible for the accuracy and currency of the ingredient and allergen information you enter, for reviewing that information whenever a recipe, supplier, or preparation method changes, for marking a dish's allergen information as confirmed only when someone at your restaurant has actually reviewed it, and for answering guests' questions about the food you serve. You are responsible for compliance with the food safety, labeling, and allergen laws that apply where you operate. The menu information you publish is your content under these Terms of Use, and you retain responsibility for it whether a guest reads it in our software or anywhere it is shared.

Our responsibilities and liability in connection with allergen and ingredient information are subject to the Disclaimer of Warranties and Limitation on Liability sections below.

Third Party Sites and Information

The Website may link you to other sites on the Internet or otherwise include references to information, documents, software, materials and/or services provided by other parties. These sites may contain information or material that some people may find inappropriate or offensive. These other sites and parties are not under our control, and you acknowledge that we are not responsible for the accuracy, copyright compliance, legality, decency, or any other aspect of the content of such sites, nor are we responsible for errors or omissions in any references to other parties or their products and services. The inclusion of such a link or reference is provided merely as a convenience and does not imply endorsement of, or association with, the site or party by us, or any warranty of any kind, either express or implied.

Email Services

We may make e-mail services available to users of the Website, either directly or through a third-party provider. We will not inspect or disclose the contents of private e-mail messages except with the consent of the sender or the recipient, or in the narrowly defined situations provided under the Electronic Communications Privacy Act, or as other required by law or by court or governmental order. We may employ automated monitoring devices or techniques to protect our users from mass unsolicited mailings (also known as “spam”) and/or other types of electronic communications that we deem inconsistent with our business purposes. However, such devices or techniques are not perfect, and we will not be responsible for any legitimate communication that is blocked, or for any unsolicited communication that is not blocked.

Participation in Promotions

From time to time, the Website may include advertisements offered by third parties. You may enter into correspondence with or participate in promotions of the advertisers showing their products on the Website. Any such correspondence or promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such correspondence or promotions, are solely between you and the advertiser. We assume no liability, obligation, or responsibility for any part of any such correspondence or promotion.

Intellectual Property Rights and Information

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Website for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, except as follows:

Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
You may store files that are automatically cached by your Web browser for display enhancement purposes.
If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by any end user license agreement for such applications.

You must not:

Modify copies of any materials from the Website.
Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.

Any use of the Website not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

Neither we or our Affiliates warrant or represent that your use of materials displayed on, or obtained through, the Website will not infringe the rights of third parties.

Trademarks

The Company name, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners. Nothing in these Terms of Use grants you any right to use any trademark, service mark, logo, and/or the name of That Menu App LLC or its Affiliates.

Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms of Use. You agree not to use the Website:

In any way that violates any applicable federal, state, local, or international law or regulation (including, without limitation, any laws regarding the export of data or software to and from the US or other countries).
For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise.
To send, knowingly receive, upload, download, use, or re-use any material that does not comply with these Terms of Use.
To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation.
To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
To promote any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, deceptive, or otherwise objectionable.

You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not the Company, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness. We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Website.

The Website is not designed or intended to be used as a disaster recovery facility or as an emergency data storage facility. Although we take reasonable precautions to preserve and protect material on the Website, you should not rely on the Website as your storage facility. You should preserve backup copies of any digital data, information or other materials that you have uploaded. You agree not to hold us for any damage to, any deletion of, or any failure to store your files, data, or Registration Data.

Monitoring and Enforcement; Termination

Copyright Counter Notification Procedures
